1. Eligibility and Authorized Use
You must be at least 18 years old and legally capable of entering into binding agreements to use the service. If you access the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
The service is intended for business, professional, administrative, and commercial use. It is not offered as a consumer entertainment product and is not directed to children.
2. Accounts, Credentials, and Security Responsibilities
You are responsible for maintaining the confidentiality of account credentials, restricting unauthorized access to your account, and ensuring that user access is assigned appropriately within your organization.
- You must provide accurate, current, and complete account information.
- You are responsible for activity that occurs under your account unless caused by our breach of these Terms or applicable law.
- You must promptly notify us of any suspected unauthorized use, credential compromise, or security incident involving your account.
3. Subscriptions, Billing, and Renewal
Access to certain features of the Riedo PDF Editor may require a paid subscription under a Pro or Enterprise plan or another commercial arrangement approved by Riedo Rx PDF.
- Subscription pricing, billing intervals, and included features are described on the pricing pages, order forms, or commercial documents applicable to the account.
- Fees are due according to the billing terms presented at purchase or otherwise agreed in writing.
- Unless otherwise stated, subscriptions may renew automatically for successive billing periods until canceled in accordance with the applicable plan terms.
- Late payment, failed payment methods, or unresolved billing issues may result in suspension or restriction of access.
Refund eligibility for premium subscriptions is described separately in the Subscription & Refund Policy. If a separate order form or enterprise agreement includes different billing or renewal terms, that agreement controls to the extent of a conflict.
4. Acceptable Use Restrictions
You may not use the service in a way that is unlawful, fraudulent, abusive, or technically harmful. Without limitation, you agree not to:
- Upload, transmit, or distribute malware, malicious code, or content designed to impair the service or another user’s environment.
- Attempt unauthorized access to accounts, workspaces, infrastructure, or protected portions of the service.
- Use the service to infringe intellectual property rights, privacy rights, confidentiality obligations, or applicable legal restrictions.
- Engage in automated scraping, reverse engineering, interference, penetration attempts, or abusive load generation except where expressly authorized in writing.
- Use the platform in connection with unlawful content, deceptive activity, sanctions violations, or prohibited business conduct.
We may suspend or terminate access where necessary to protect the service, customers, legal compliance, or security integrity.
5. Customer Content and Responsibility for Documents
You retain responsibility for the documents, files, messages, fields, signer instructions, and other content uploaded or routed through the service. You represent that you have the rights, permissions, and authority necessary to upload, process, sign, route, or store such content through the platform.
You also remain responsible for configuring your workflows appropriately, selecting which users can access sensitive records, and ensuring that your use of the service complies with laws, regulations, contracts, and internal policies applicable to your organization.
6. Intellectual Property and License
The service, including its software, interface, design, platform logic, text, branding, and related materials, is owned by or licensed to Riedo Rx PDF and is protected by applicable intellectual property laws.
- Subject to these Terms and any applicable paid subscription, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service for internal business purposes.
- You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from the service except as expressly permitted by law or written agreement.
- Nothing in these Terms transfers ownership of the service or our intellectual property to you.
7. Service Availability, Warranties, and Disclaimers
The service is provided on an “as is” and “as available” basis except to the extent otherwise stated in a written enterprise agreement. While Riedo Rx PDF operates the platform as a serious business software service, we do not guarantee uninterrupted availability, error-free operation, or universal compatibility with all customer systems, browsers, networks, or workflows.
To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade, unless such disclaimers are prohibited by law or expressly modified by written agreement.
8. Limitation of Liability
To the maximum extent permitted by law, Riedo Rx PDF and its officers, employees, contractors, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising from or related to the service.
To the maximum extent permitted by law, our aggregate liability for claims arising out of or relating to the service will not exceed the total amount paid by you to us for the service during the twelve months preceding the event giving rise to the claim, unless a separate written agreement provides otherwise.
These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose, except where prohibited by applicable law.
9. Indemnification
You agree to defend, indemnify, and hold harmless Riedo Rx PDF and its affiliates, personnel, and service providers from and against claims, damages, liabilities, losses, costs, and expenses arising out of or relating to your content, your misuse of the service, your violation of these Terms, or your infringement of the rights of any third party, except to the extent caused by our own breach or misconduct.
10. Suspension and Termination
We may suspend or terminate access to the service if reasonably necessary to protect the platform, comply with law, enforce these Terms, address billing failure, respond to misuse, or reduce security risk. You may stop using the service and cancel applicable subscriptions in accordance with your plan or agreement.
Provisions that by their nature should survive termination, including payment obligations, intellectual property protections, disclaimers, limitations of liability, indemnification obligations, dispute provisions, and related legal protections, will survive termination.
11. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles, except to the extent superseded by applicable federal law. Any dispute arising out of or relating to these Terms or the service will be subject to the competent courts located in Massachusetts, unless another venue is required by law or agreed in writing.
12. Changes to These Terms
We may revise these Terms from time to time to reflect service updates, business changes, legal developments, or operational requirements. When changes are material, we may update the effective date and provide additional notice where appropriate. Continued use of the service after updated Terms become effective constitutes acceptance of those Terms.
